This Service Policy (the “Policy”) is issued by Vueron Technology Co., Ltd. (“Company”) under Articles 2 and 13 of the X Factory Terms of Service (the “Terms”) and specifies the rights and obligations applicable to Customer-Dedicated Fine-Tuned Models. Capitalized terms not defined here have the meanings given in the applicable governing documents.

1. Application and Definitions

This Policy applies only where an Order Form, purchase order, statement of work, other individual agreement, or written notice from Company identifies the relevant project or model as a “Customer-Dedicated Fine-Tuned Model” and refers to this Policy.

A “Customer-Dedicated Fine-Tuned Model” means a customer-dedicated version of a Company pre-trained model additionally fine-tuned solely using Customer Data provided or authorized by that Customer.

“Service Term” means the Customer’s authorized period of use under the applicable individual agreement.

2. Exclusive Customer Access and Use

Company shall use only Customer Data provided or authorized by the Customer for customer-specific fine-tuning and shall not use another customer’s data without the Customer’s written consent.

Company shall not provide, license, transfer, deploy, disclose, or otherwise make the Customer-Dedicated Fine-Tuned Model available for another customer’s or third party’s use or benefit, or merge or reuse the Customer-Dedicated Fine-Tuned Model in a generally available or third-party model.

3. Ownership and Access Restrictions

Company retains all right, title, and interest in its pre-trained models, the Customer-Dedicated Fine-Tuned Model, its software, algorithms, architecture, training and inference methods, tools, general improvements, and know-how. The Customer retains its rights in Customer Data and API Outputs under the governing documents.

The exclusive use right does not transfer ownership or grant any right to model files, weights, parameters, checkpoints, source code, training code, or other underlying technology. Unless an individual agreement states otherwise, the Customer may access the model only through the X Factory Service or X Factory API and may not transfer, assign, sublicense, disclose, extract, or reverse engineer it. Company may continue to use and improve its base models and general technology, provided it does not use or incorporate Customer Data.

4. Term, Confidentiality, and Effect of Termination

The exclusive right begins when the model is designated under Section 1 and the Service Term has begun, and ends upon expiration or termination of that Service Term, when Customer access ceases. Company may retain, archive, or delete the model only as permitted by the governing documents or law, but shall not use the model for another customer or third party without the Customer’s written authorization. Company shall protect them as confidential information, and the Data Processing Addendum (“DPA”) shall govern Personal Data.
